1. Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”, "Client", "User") and Cygnus AI (“Company”, "we", "us", or "our"), governing your access to and use of the cygnusai.in website, our automated trading bots, Expert Advisors (EAs), trading indicators, signal services, automation tools, documentation and any other products or services we make available (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms and by any policies referenced herein, including our Privacy Policy and Risk Disclosures. If you do not agree with all of these Terms, you must not use or access the Services.

2. Scope of Services & Eligibility

Cygnus AI is a software and technology provider. We do not operate as a broker, dealer, exchange, custodian, portfolio manager or financial advisor. We do not hold client funds, execute trades on your behalf or provide personalized investment advice. You remain a direct client of your broker or trading platform.

By using the Services, you represent and warrant that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher;
• You have full legal capacity and authority to enter into and comply with these Terms;
• You will use the Services only in compliance with all applicable laws, regulations and rules (including those of your broker or exchange);
• You are not prohibited from using the Services under any sanctions, embargoes or restricted party lists.

3. Intellectual Property Rights & License

Unless expressly stated otherwise, all intellectual property rights in and to the Services are owned or controlled by Cygnus AI. This includes, without limitation, our proprietary trading algorithms, strategies, code, EAs, indicators, user interfaces, designs, branding, logos, written content, videos and all other materials (collectively, “Cygnus AI Content”).

3.1 Limited License

Upon valid purchase or authorized access, we grant you a revocable, non-exclusive, non-transferable, limited license to use the specific Cygnus AI product(s) you obtained, strictly:

• For the duration and license type communicated at the time of purchase (e.g., 1 Month, 3 Months, 1 Year, Lifetime);
• On the specific MetaTrader account(s) or environment(s) you register or provide for license activation;
• For your own trading accounts or for the legal entity you represent, and not for unauthorized resale or sub-licensing.

3.2 Prohibited Uses & Restrictions

You agree that you will NOT, and will not permit any third party to:

• Decompile, reverse engineer, decrypt or attempt to derive the source code, underlying logic or structure of any Cygnus AI software;
• Modify, adapt, translate or create derivative works based on the Services without our prior written consent;
• Share, resell, lease, rent, lend, sublicense, “crack”, redistribute or otherwise make our software or licenses available to any third party;
• Bypass or attempt to bypass license protections, account locks, usage limits or other security measures;
• Remove or alter proprietary notices, license details, watermarks, branding or legal markings in the software or materials;
• Use any part of the Cygnus AI Content to build or train competing products, tools or services.

Breach of this clause will result in immediate termination of your license and access, without refund, and may lead to civil and/or criminal liability under applicable laws.

3.3 Data Usage & Improvements

You acknowledge and agree that Cygnus AI may collect, use, and analyze aggregated and anonymized data derived from your use of the Services (including trading statistics, error logs, and performance metrics) for the purpose of improving our algorithms, enhancing Service performance, training our AI models, and developing new features, provided that such data does not personally identify you or reveal your sensitive financial details to the public.

4. Account Registration & Security

To access certain Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

5. Payments, Pricing, Refunds & Credits

5.1 Payment Terms

All fees are due in advance of the delivery of the service or software. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site.

5.2 No Refund Policy

Due to the digital nature of our products (downloadable software, license keys, digital strategies, and live signals), ALL SALES ARE FINAL. Once access has been granted, the product has been delivered, or a license has been activated, we do not provide refunds, returns or exchanges, except where required by applicable law.

This applies irrespective of your trading outcomes, changes in market conditions, or your subsequent decision not to use the software.

5.3 Subscriptions & Renewals

For subscription-based products, your subscription may automatically renew at the end of each billing cycle unless you cancel it in accordance with the instructions provided in your account or in our communications. You are responsible for managing and cancelling your subscription before renewal if you no longer wish to be charged.

5.4 Affiliate Earnings & Store Credits

Credits, commissions, or rewards earned through our Affiliate Program or purchased directly have no cash value outside of the Cygnus AI ecosystem unless explicitly stated otherwise (e.g., withdrawable affiliate commissions subject to minimum thresholds). We reserve the right to:

• Correct any errors in the calculation of credits or commissions.
• Void credits earned through fraudulent activity, including self-referrals or bot traffic.
• Suspend affiliate accounts that violate our promotional guidelines (e.g., spamming or misleading claims).

6. Nature of Information – No Investment Advice

Cygnus AI is a software development company, not a financial advisor, broker, or registered investment advisor. The automated trading tools, indicators, strategies, and signals provided are for educational and assistance purposes only.

Nothing in the Services should be interpreted as personalized financial, investment, tax or legal advice. You are solely responsible for your trading decisions and should consult qualified professionals if you require advice tailored to your individual circumstances.

7. Trading Risk & Performance Disclaimer

Back-tests, forward tests, demo results and live account statistics shared by us or our clients are provided to illustrate how our systems have performed under certain conditions. Such examples are inherently limited and do not reflect all real market conditions (including slippage, liquidity, spreads, execution delays and human decisions).

You acknowledge and agree that:

• No performance data, metric or track record from Cygnus AI is a guarantee of future results;
• All trading involves risk, and you may lose some or all of your capital;
• You are solely responsible for configuring lot sizes, risk parameters, timeframes and instruments in accordance with your own risk tolerance.

8. User Responsibilities & Prohibited Activities

By using the Services, you agree that you are fully responsible for:

• Selecting your broker or exchange and understanding their terms, fees and risks;
• Ensuring that your VPS, internet connection, trading platform and environment are stable and properly maintained;
• Monitoring your accounts, open positions and margin at all times;
• Using the software in compliance with applicable laws, regulations and broker rules.

You agree that you will NOT use the Services to:

• Engage in any unlawful, fraudulent, manipulative or abusive activity;
• Attempt to disrupt, overload, or interfere with the proper functioning of our infrastructure;
• Upload or distribute malicious code, viruses or harmful scripts;
• Infringe the rights of Cygnus AI, other users or any third party.

9. Third-Party Platforms, Brokers & Integrations

Our software may interact with third-party platforms (such as MetaTrader terminals, broker servers, liquidity providers or data feeds). Cygnus AI does not control and is not responsible for:

• The availability, stability or performance of any third-party platform;
• Execution quality, slippage, spreads, commissions, swaps or other trading conditions;
• Any errors, delays, re-quotes, disconnections or technical failures on third-party systems.

Any disputes related to order execution or account management must be addressed directly with your broker or platform provider.

10. Service Availability & Force Majeure

We strive to ensure that our Services are available 24/7. However, we shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, strikes or labor disputes, embargoes, government orders or any other force majeure event, internet service provider failures or delays, denial of service attacks, or failure of third-party brokers or trading platforms (MetaTrader 4/5).

10.1 Force Majeure Exemption

Without limiting any other provision of these Terms, Cygnus AI shall not be liable for any delay or failure to perform any obligation under the Services where such delay or failure results from events or circumstances beyond our reasonable control (“Force Majeure Events”). Force Majeure Events include, without limitation, interruptions or failures of telecommunications, internet or network services; failures or outages of servers, hosting providers or data centres; power failures; acts of God; fire; flood; epidemic or pandemic; war; civil or military unrest; terrorism; embargoes; government actions or regulatory changes; strikes or other labour disputes; and extreme or abnormal market conditions, including exchange outages, trading halts, flash crashes or extraordinary volatility in financial markets.

During any Force Majeure Event, the Services may be suspended, limited, degraded or otherwise affected, and Cygnus AI shall have no obligation to provide refunds, credits, compensation or damages in connection with such unavailability or performance issues, provided that we will use commercially reasonable efforts to restore normal operations when it is practical to do so. This includes internet service provider failures, delays in third-party messaging platforms (e.g., Telegram API outages), denial of service attacks, or failure of third-party brokers or trading platforms (MetaTrader 4/5).

11. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Cygnus AI disclaims all warranties, whether express, implied, statutory or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Services will meet your expectations or trading objectives.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Cygnus AI, its directors, employees, partners or agents be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, trading losses or opportunity costs, arising out of or in connection with your use of, or inability to use, the Services.

Notwithstanding anything to the contrary contained herein, our total aggregate liability arising under or in connection with the Services and these Terms shall be limited to the amount you have paid directly to Cygnus AI for the specific product or subscription giving rise to the claim in the 12 months prior to the act giving rise to liability, or the minimum amount permitted by law, whichever is lower.

13. Indemnification

You agree to defend, indemnify and hold harmless Cygnus AI, its officers, directors, employees, partners, affiliates and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt and expenses (including reasonable attorneys’ fees) arising from: (1) Your use of or access to the Services; (2) Your breach of any provision of these Terms; (3) Your violation of any third-party right, including any intellectual property or privacy right; or (4) Any trading decision or investment action taken by you based, in whole or in part, on our software or content.

14. Term, Suspension & Termination

These Terms remain in effect while you access or use the Services. We may suspend or terminate your access, licenses or account at any time, with or without notice, if we reasonably believe that: (1) You have violated these Terms, our policies or applicable law; (2) You are engaged in fraudulent, abusive or harmful activity; or (3) We are required to do so by law, regulatory directive or a partner platform.

Upon termination, your right to use the Services will immediately cease, and any active licenses may be revoked. Sections of these Terms which by their nature should survive termination (including Intellectual Property, Payment Terms, Disclaimers, Limitation of Liability, Indemnification and Governing Law) will remain in full force and effect.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of India.

15.1 Arbitration

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding its existence, validity, or termination, the parties shall first attempt to resolve the dispute through good-faith negotiations for a period of thirty (30) days. If unresolved, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of the arbitration shall be New Delhi, India. The language of the arbitration shall be English. The arbitrator's award shall be final and binding on both parties.

15.2 Jurisdiction

Subject to the arbitration clause above, Cygnus AI and yourself irrevocably consent that the courts of New Delhi, India shall have exclusive jurisdiction to resolve any legal proceedings.

16. Export Control

The Services may be subject to the export control laws of India, the United States, and other jurisdictions. You agree to comply with all applicable international and national laws that apply to the Services, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by Indian or other governments. You represent and warrant that you are not located in a country or territory that is subject to a government embargo, or that has been designated by any government as a “terrorist supporting” country.

17. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, corporate restructuring or sale of assets.
